PUBLIC OFFER AGREEMENT
on Voluntary Charitable Donation

1. GENERAL PROVISIONS
1.1. This Public Offer for providing a charitable donation (hereinafter – the “Offer”), in accordance with Article 641 of the Civil Code of Ukraine, constitutes a proposal made by the Charitable Organization “Tykho Charity Foundation”, legal entity identification code 44723852, located at: Ukraine, 65123, Odesa region, Odesa, Akademika Zabolotnoho St., 57/1, Apt. 55 (hereinafter – the “Foundation”), represented by its Director Andrii Lyman, acting based on the Foundation’s Charter, to an indefinite number of legally capable individuals and private legal entities that voluntarily carry out charitable activities (each referred to as a “Donor”), to agree on the provision of a charitable donation (hereinafter – the “Agreement”) under the terms described in this Offer with any Donor who accepts it.
1.2. This Offer becomes effective from the moment it is published on the Foundation’s website at: https://tykho.foundation/ (hereinafter – the “Website”). The Offer is open-ended and may be amended or revoked by the Foundation at any time (before its acceptance by the Donor) by publishing the relevant information on the Website.
1.3. The Foundation may enter into agreements on charitable donations in a different manner and/or on terms other than those provided in this Offer. A Donor may separately contact the Foundation to conclude such an agreement.

2. SUBJECT OF THE AGREEMENT
2.1. The subject of this Agreement is the gratuitous and voluntary transfer by the Donor of funds into the ownership of the Foundation in the form of a charitable donation to support the statutory activities of the Foundation. The Donor independently determines the amount of the donation. The Foundation independently determines the areas of use of the donation within its statutory activities, unless otherwise specified by the Donor in accordance with the procedure defined by this Agreement. The purpose of this Agreement is not to obtain profit, directly or indirectly, by any Party.
2.2. The transfer of funds by the Donor under this Agreement is recognized as a charitable donation pursuant to Article 6 of the Law of Ukraine “On Charitable Activities and Charitable Organizations”.
2.3. If desired, the Donor may specify the purpose of the donation by selecting one of the programs (projects) or goals announced by the Foundation.

3. FOUNDATION ACTIVITIES
3.1. The Foundation carries out charitable activities in accordance with its Charter, in particular in the field of strengthening the defense capability and mobilization readiness of the country due to the military aggression of the Russian Federation.
3.2. The Foundation’s activities are non-profit and are not aimed at generating income.
3.3. Information about the Foundation’s activities and reports on their results are available on the Website.

4. MAKING A DONATION
4.1. The Donor independently determines the amount of the charitable donation.
4.2. A charitable donation is voluntary and is not subject to return to the Donor.
4.3. In accordance with this Offer and Agreement, charitable donations are provided by Donors and used by the Foundation to carry out and support its charitable activities (implementation of the goals, areas, and philanthropic programs) pursuant to its Charter and the legislation of Ukraine. The Donor agrees to such purpose of their donation.
4.4. Methods of making a charitable donation:
• a one-time payment;
• a subscription, which provides for monthly or annual payments of any amount. Such a subscription may be cancelled at any time through the Donor’s banking services (e.g., Privat24, Apple Pay, Google Pay, etc.).

5. RIGHTS AND OBLIGATIONS OF THE PARTIES
5.1. The Foundation is obliged to use the Donor’s charitable funds strictly in accordance with the legislation of Ukraine and exclusively within its statutory activities.5.2. The Foundation has the right to independently determine the areas of use of the donation in accordance with its statutory activities and legislation of Ukraine, except in cases when the Donor determines a specific purpose of the donation in a separate agreement with the Foundation. If no particular purpose is defined, the donation is considered to be made to support the statutory activities of the Foundation.5.3. The Donor has the right to receive information regarding the use of their donation. For this purpose, the Foundation may publish monthly financial reports on the Website that include information on donations received and the Foundation’s expenses for the reporting period. Upon written request, the Foundation may additionally confirm the targeted use of the donation with supporting documents. Access to such reports is provided in accordance with Ukrainian legislation and this Offer.5.4. By donating, the Donor unconditionally confirms their legal capacity, the voluntary nature of entering into this transaction, and that the donation funds are not prohibited, seized, pledged, encumbered with third-party rights, nor obtained in violation of the Law of Ukraine “On Prevention and Counteraction to Legalization (Laundering) of Proceeds of Crime, Financing of Terrorism and Financing of Proliferation of Weapons of Mass Destruction”. If the Foundation has reasonable doubts regarding these statements, it may request, and the Donor is obliged to provide, relevant evidence.
6. ACCEPTANCE
6.1. Acceptance is the complete and unconditional acceptance of this Offer through the act of transferring funds using the payment forms and tools available on the Website or by transferring funds to the Foundation’s bank account through banking institutions. The moment of Acceptance is the date of the transfer and/or the date the funds are credited to the Foundation’s bank account.
6.2. Acceptance of the Offer means that the Donor agrees with all its provisions, fully understands and accepts the purpose of the Agreement, the nature of public fundraising, and the Foundation’s right to use part of the donation for administrative expenses within the limits permitted by the legislation of Ukraine.
6.3. The Donor and the Foundation agree, pursuant to Articles 639, 641, and 642 of the Civil Code of Ukraine, that the Agreement is considered concluded from the moment of Acceptance. Failure to comply with the written form of the transaction does not render it invalid.
6.4. The Foundation processes the Donor’s personal data provided when visiting the Website and/or making a donation (hereinafter – “personal data”) to implement this Agreement and its statutory activities properly. 7. FINAL PROVISIONS
7.1. The legislation of Ukraine governs the relations between the Donor and the Foundation.
7.2. The Foundation’s liability for violations of this Agreement or improper use of donations arises on the grounds, in the amount, and in the manner prescribed by the legislation of Ukraine.
7.3. In the event of disputes, the Parties shall resolve them through negotiations. If resolution through negotiations is impossible, disputes shall be settled by the courts in accordance with Ukrainian legislation.
